The Mergers and Acquisitions Team works with buyers and sellers in virtually every industry. The Team’s work is significant, both in scope and reputation. Our attorneys are adept at negotiating and closing transactions, guiding clients through significant ownership changes and handling antitrust, tax, securities, intellectual property, regulatory and commercial aspects of purchases, sales and mergers.
Our Economic Development and Incentives Team has extensive experience negotiating state and local economic incentives for start-up and expansion, and advising on site selection and real estate acquisition, plant permitting and construction and tax and finance related matters.
Our Product Distribution and Franchising Team practice is equally sizeable, with heavy emphasis on sales and distribution agreements, purchase and supply contracts, regulatory advice to franchisors, and standard terms of sale. It is backed by an able Antitrust Team, providing counsel and trial assistance at all levels of the distribution chain. The Antitrust Team also regularly advises clients on antitrust compliance in acquisitions and other transactions, and on grand jury and other government investigatory matters.
The Securities Team is experienced in private offerings, venture capital, initial public offerings, public company compliance, including Sarbanes-Oxley matters, and advises a variety of private equity funds and other private, as well as public, companies raising debt and equity capital. It is comprised of experienced attorneys counseling clients on securities compliance, as well as administrative law and trial attorneys experienced in dealing with regulators and defending securities law cases.

The Real Estate Development and Construction Team is experienced in all phases of commercial real estate and real estate development. The Team also works closely with manufacturers and service providers in plant construction, office leasing and real estate acquisitions and dispositions.
The Zoning and Land Use Team attorneys have extensive experience in all aspects of land use law, including planning, zoning and subdivision law. The Team regularly prepares, files and secures approvals for zone changes, variances, conditional use permits, and historic preservation permits. Its members are also experienced in mediating with organized opposition, conducting mandatory public hearings and handling zoning-related hearings and litigation.
