Greenebaum’s International Team provides a wide variety of services to individuals and business entities in international transactions. Attorneys who are part of our international team have represented both domestic and foreign clients in multi‑national transactions. We represent a variety of foreign clients doing business in the United States. We also have extensive experience in counseling U.S. companies and individuals in their world‑wide investments and operations in Japan, China and the Asia‑Pacific Rim including Australia, Western and Eastern Europe, Canada and Mexico.

- Joint Ventures, Marketing and Distribution. The firm has considerable experience in joint ventures involving businesses located in the U.S. and abroad and in marketing and product distribution through licensing, franchise, distribution and agency agreements.
- Taxation. Our tax group has considerable international experience, and advises clients on international structures designed to minimize overall tax burdens. We have represented clients on issues such as transfer pricing, permanent establishment, tax haven structures, foreign tax credits, Subpart F income, expatriate and foreign national compensation plans and off shore captive insurers.
- Export/Import, Customs. The International Team has considerable experience in establishing, expanding and modifying Foreign-Trade Zones and maximizing other international incentives to reduce both a company's overall effective tax rate and operational costs. We have negotiated with various state, local and Federal government agencies, including the Foreign-Trade Zones Board, U.S. Customs and Border Protection and various state and local administrative agencies, in the process of successfully implementing cost saving structures for our clients. Our attorneys are also experienced in export/import and customs matters, including customs audits, and on matters of taxation.
- Mergers & Acquisitions. The firm has an extensive mergers and acquisitions practice which has included numerous international transactions such as negotiated acquisitions, mergers and joint ventures in Western and Central Europe, Canada, Mexico and South America. The firm has represented a number of clients in securing foreign financing for transactions occurring in both the United States and foreign nations, particularly in connection with mergers and acquisitions. Our attorneys also regularly represent foreign companies making acquisitions in the United States.
- Intellectual Property ‑ Attorneys in our international practice have handled virtually all types of intellectual property issues, including copyrights, trademarks and trade secret matters for United States clients engaging in business abroad.
- Immigration ‑ The firm offers a full line of immigration services, and is experienced in assisting foreign corporations in securing the admittance of their personnel to the United States, under both immigrant and non‑immigrant status. The firm has successfully assisted immigrants from virtually every part of the world, with particular concentration in Japan, the Asia‑Pacific Rim, Western Europe, Canada, Mexico, and South and Central America.
Because of the international nature of our clients’ businesses, many of our attorneys have spent substantial time abroad representing the international operations of these clients and, as a result, have become familiar with the general commercial and corporate law and practice of several nations, particularly Japan and the Asia‑Pacific Rim, the United Kingdom, Western Europe, Mexico and Canada. Several of our attorneys speak foreign languages, including Japanese and Chinese.

Representative clients and transactions include:
- Gallatin Steel Company. Created this US joint venture in by two Canadian companies, Dofasco Inc. and Costeel Inc. Negotiated contracts with suppliers in locations around the United States for such services as rail transportation and hazardous waste.
- CSC USA, Inc. Arranged the formation of this group of 54 Japanese companies and their US joint venture in the tire casing import/export business. Negotiated arrangements between Japanese suppliers and this new company.
- Toyotomi. Set up US operations for this company and negotiated agreements between this company and US suppliers.
- Grupo Lajat. Represented this Mexican company in their acquisition of a garment company in US.
- Louisville Forge & Gear, Inc. Negotiated the joint venture between this company and the Japanese company Aichi Steel.
- University of Louisville. Investigated the viability of a donation to the school of an Italian villa, working with local counsel in Italy.
- Sonera. Handled acquisition of Aerial Communications Inc. by Sonera, a fixed and mobile network operator with operations in Finland and other countries.
- Private transaction. Represented US creditor in a Canadian bankruptcy.
- Private transaction. Reviewed telecommunications documents for a Chinese concern.
- ANDELEX Resources, Inc. Restructured foreign holding companies.
- Chi Chi’s International, Inc. International employment matters.
- Ashland Inc. Represented company in tax litigation related to offshore captive insurance company.
- Abrasive Industries Inc. Handled acquisition of European manufacturing operations, negotiation and structuring of European debt financing, Eastern European distribution arrangements, sales of European operations.
- Toyota Motor Manufacturing Co. Managed the legal processes from inception of "green field" manufacturing plant in Kentucky involving a full range of legal representation, including tax, corporate and economic development law.
- Private transaction. On behalf of a US-based company, formed an offshore Intellectual Property Holding Company, handling all structuring, tax and transfer issues.
- Private transaction. Assisted U.S. companies in doing business in emerging markets, as well as emerging markets-based companies that wish to access the U.S. capital markets.
- Private transaction. Assisted U.S. corporate employers develop and maintain expatriate compensation packages that attract and retain employees while holding costs to a competitive level.
- Private transaction. On behalf of a web-based portal for the alternative medicine industry, created the corporate structure and negotiated the purchase of an offshore medical clinic.
- Private transaction. On behalf of a number of foreign based companies, formed its US base of operations and provided tax and structuring advice and assisted in various acquisitions.
